1. Introduction & Agreement Overview

These Terms and Conditions ("Agreement") govern your use of the ZyroGo website, mobile platforms, booking systems, and all related digital services (collectively, the "Platform"). This Agreement is entered into between you ("User," "you," or "your") and operating company 17620349 CANADA INC., DBA ZyroGo Inc. ("ZyroGo," "we," "us," or "our"), a registered intercity transportation company operating under the laws of Ontario, Canada.

If you are accessing the Platform on behalf of a business or other legal entity, you confirm that you have the authority to bind that entity to this Agreement. Where such authority does not exist, you must not accept these terms or use the Platform.

By accessing, browsing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. This acceptance is legally enforceable even though it is formed electronically and does not require a physical signature.

This Agreement applies exclusively to your use of ZyroGo's digital Platform and related services. Operational travel policies, including those related to boarding, refunds, baggage, and onboard conduct, are governed separately by the ZyroGo Service Agreement.

2. Definitions & Interpretation

In this Agreement, the following terms carry the meanings assigned below. Words in the singular include the plural and vice versa, and references to any gender include all genders.

Agreement means these Terms and Conditions, including any amendments posted by ZyroGo from time to time.

Platform refers to the ZyroGo website, mobile applications, booking engines, and any related digital tools or interfaces operated by or on behalf of ZyroGo.

Services means all digital services accessible through the Platform, including account creation, ticket purchasing, booking management, and customer communications.

User, you, or your refers to any individual or entity that accesses, browses, or uses the Platform.

ZyroGo, we, us, or our refers to ZyroGo Inc., its subsidiaries, affiliates, and authorized representatives.

Content includes all text, images, graphics, software, data, and other materials displayed on or available through the Platform.

Service Agreement refers to the separate document governing operational travel policies, including boarding procedures, baggage rules, refund eligibility, delays, and onboard conduct.

Third-Party Services means any external platforms, payment processors, resellers, or service providers integrated with or linked from the Platform.

Where any conflict arises between this Agreement and the Service Agreement, the Service Agreement shall prevail with respect to operational travel matters, and this Agreement shall prevail with respect to Platform use and digital services.

3. Eligibility & Authority to Enter Agreement

By using the Platform, you confirm that you have the legal capacity to enter into a binding contract under the laws of your place of residence. If you reside in Ontario or another jurisdiction where the age of majority is 18, you must be at least 18 years old to use the Platform in your own name.

If you are using the Platform on behalf of a business, organization, or other legal entity, you represent and warrant that you are an authorized representative of that entity with full authority to bind it to this Agreement, and that you accept this Agreement on its behalf.

If you do not meet these eligibility or authority requirements, you must not access or use the Platform, create an account, or make bookings through the Platform.

4. Accounts & User Responsibilities

4.1 Account creation and accuracy
To access certain features of the Platform, you may be required to create an account and provide registration information. You agree to provide true, accurate, current, and complete information, and to update it promptly if any details change.

4.2 Security of your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether authorized by you or not. You must notify ZyroGo immediately if you suspect unauthorized access, a security breach, or misuse of your account.

4.3 Proper use and restrictions
You agree that your account will be used only in compliance with this Agreement and all applicable laws. You must not share, sell, transfer, or allow any third party to use your account except where expressly authorized by ZyroGo, such as designated corporate or agency users.

4.4 Suspension, restriction, and closure
ZyroGo may, in its reasonable discretion, suspend, restrict, or close your account or access to the Platform, with or without notice, if it believes that you have violated this Agreement, engaged in fraudulent, abusive, or unlawful activity, or compromised the security or integrity of the Platform. Any such action relates only to your digital account and Platform access and does not, by itself, determine your rights under any separate Service Agreement.

5. Website, Platform & Digital Services Use

5.1 Access and availability
ZyroGo aims to keep the Platform available, secure, and functioning correctly but does not guarantee uninterrupted or error-free access. From time to time, access may be limited or suspended for maintenance, updates, or technical reasons required to support system stability and security.

5.2 Acceptable technical use
You agree not to use automated tools, scraping, crawling, data-mining, or similar technologies to access or interact with the Platform unless expressly permitted in writing by ZyroGo. You must not attempt to bypass security measures, interfere with Platform functionality, introduce malware or harmful code, or create unauthorized technical integrations.

5.3 Reliance on digital information
Information displayed on the Platform, including schedules, availability, and service updates, is provided for general guidance and may change without notice. Operational details, including final terms of carriage, are governed by the applicable Service Agreement and not solely by the information displayed on the Platform.

5.4 No misuse or overloading
You must not use the Platform in any way that could damage, disable, overburden, or impair ZyroGo’s systems or networks, or interfere with another user’s access or use. ZyroGo may apply reasonable technical limits, monitoring, or protective controls to maintain Platform reliability and security.

6. Bookings, Payments & Billing

6.1 Booking through the Platform
Bookings made through the Platform create a request for transportation services under the applicable Service Agreement for the selected route, carrier, and fare. Travel eligibility, boarding rights, and operational conditions are governed by the Service Agreement rather than this section.

6.2 Payment methods and authorization
You authorize ZyroGo or its payment processors to charge the payment method provided for bookings, applicable taxes, and related fees displayed at checkout. By submitting payment details, you confirm that you are authorized to use the selected payment method and that all billing information provided is accurate and complete.

6.3 Charges, verification, and fraud prevention
ZyroGo may use third-party payment processors, security screening tools, or additional verification procedures where irregular activity or fraud risk is detected. ZyroGo may decline, cancel, or reverse transactions, in whole or in part, where payment cannot be processed, is disputed, or appears unauthorized or unlawful.

6.4 Billing records and currency
All amounts displayed on the Platform are shown in the stated currency at the time of purchase unless otherwise specified. ZyroGo’s internal booking, payment, and system records will be considered conclusive evidence of transactions processed through the Platform, except in cases of clear error.

7. Pricing, Taxes & Fees Disclaimer

7.1 Indicative pricing only
All prices, fees, and charges displayed on the Platform are indicative until a booking is confirmed at checkout. ZyroGo may modify displayed prices at any time prior to transaction completion, including changes resulting from carrier updates, partner adjustments, or tax revisions.

7.2 Taxes, surcharges, and third-party fees
Displayed amounts may include applicable taxes, government-imposed charges, surcharges, and third-party service or processing fees. These amounts are presented as clearly as reasonably possible during the booking process, though final totals may vary depending on jurisdictional tax rules or third-party pricing structures.

7.3 Errors, omissions, and corrections
Despite efforts to maintain accurate pricing, occasional errors or discrepancies may occur, including incorrect fares or misapplied discounts. ZyroGo reserves the right to correct pricing errors, cancel affected bookings, or request authorization for the correct amount prior to travel, subject to applicable consumer protection laws.

8. Third-Party Platforms & Resellers

8.1 Bookings made via third parties
Tickets or services booked through resellers, aggregators, travel agents, or other third-party platforms are subject to the terms and conditions of those third parties, including their policies relating to changes, cancellations, and refunds. ZyroGo is not responsible for how third parties display prices, availability, or service information, or for errors that may occur within third-party systems.

8.2 Role of ZyroGo and third parties
Where a third party distributes ZyroGo services, ZyroGo remains responsible only for the underlying transportation service described in the applicable Service Agreement. The third party is responsible for its own website functionality, booking process, payment handling, customer support, and any additional services offered through its platform.

8.3 Data sharing and consent
When you choose to book or manage travel through a third-party platform connected to ZyroGo systems, you authorize ZyroGo to exchange relevant booking, payment, and contact information with that third party for the purpose of processing your request. Personal data collected or processed by third parties is governed by their respective privacy policies and terms, in addition to ZyroGo’s Privacy Policy.

8.4 Conflicts and discrepancies
Where differences exist between information presented by a third party and information provided directly on the ZyroGo Platform, ZyroGo Platform information will generally prevail for schedules and technical service details. Commercial terms provided by the third party will govern the transaction entered into with that third party unless otherwise specified in the Service Agreement.

9. Communications & Electronic Notices

By creating an account, making a booking, or using the Platform, you agree that ZyroGo may communicate with you electronically through email, SMS, in-app notifications, or Platform messages for purposes such as booking confirmations, updates, service alerts, and security notifications.

You agree that electronic communications, disclosures, agreements, and notices provided by ZyroGo satisfy any legal requirement for written communication where permitted by applicable law.

You are responsible for keeping your contact information, including email address and mobile number, accurate and current so that communications can be delivered successfully. ZyroGo is not responsible if communications are not received due to inaccurate information, mailbox limitations, filtering settings, or network availability issues.

Certain promotional or marketing communications may require separate consent and can be withdrawn at any time using the unsubscribe or preference options provided, without affecting essential transactional or service-related communications.

10. Accuracy of Information

ZyroGo aims to maintain accurate and current information on the Platform, including schedules, availability, pricing, and service descriptions, but cannot guarantee that all content will always be free from errors, omissions, or technical inconsistencies.

Information provided on the Platform is intended as general guidance and may change without notice due to operational updates, partner changes, or system limitations. Certain details may be updated closer to departure or communicated through follow-up notices where required.

ZyroGo reserves the right to correct errors, inaccuracies, or omissions and to update or modify information at any time, including after a request or booking has been submitted, where permitted by applicable law. Where appropriate, ZyroGo will make reasonable efforts to notify you using your registered contact details and explain available options.

11. Prohibited Uses & Misconduct

You agree not to use the Platform or Services for any unlawful, harmful, abusive, or misleading purpose, or in any way that violates this Agreement or applicable laws and regulations. Prohibited conduct includes any activity that could damage ZyroGo’s systems, reputation, other Users, or any third party.

Without limiting the generality of the above, you must not:

• Engage in fraud, identity theft, payment abuse, or other deceptive conduct.
• Harass, threaten, intimidate, or abuse ZyroGo staff, partners, or other Users.
• Submit false, misleading, or inaccurate information.
• Attempt to gain unauthorized access to accounts, systems, or stored data.
• Upload, transmit, or distribute malware, automated attacks, or harmful code designed to disrupt Platform operations.
• Use automated tools to scrape, copy, or harvest data in violation of this Agreement.
• Infringe intellectual property, privacy rights, or other legal rights of ZyroGo or third parties.
• Attempt to bypass or interfere with security, authentication, or technical protection measures.

ZyroGo may investigate suspected violations and may suspend, restrict, or terminate access to the Platform, block transactions, or remove content where misuse, misconduct, or unlawful activity is reasonably suspected. Such actions are in addition to any rights or remedies available under applicable law and do not affect obligations under any separate Service Agreement.

12. Intellectual Property Rights

All rights, title, and interest in and to the Platform and its Content, including text, graphics, logos, icons, images, software, and underlying technology, are owned by ZyroGo or its licensors and are protected by copyright, trademark, and other intellectual property laws. No ownership rights are transferred to you by accessing or using the Platform.

ZyroGo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal or internal business purposes in accordance with this Agreement. Except where expressly permitted, you may not copy, modify, reproduce, distribute, display, publish, create derivative works from, or otherwise exploit any part of the Platform or its Content.

All ZyroGo names, logos, and related branding elements are trademarks or trade dress of ZyroGo and may not be used without prior written permission. Third-party names, logos, and trademarks appearing on the Platform remain the property of their respective owners and are used for identification purposes only. Nothing in this Agreement grants any license or right to use any trademark or branding except as required for normal use of the Platform.

13. Privacy & Data Protection Reference

ZyroGo collects, uses, and protects personal information in accordance with its Privacy Policy, which forms an integral part of this Agreement. The Privacy Policy explains what data is collected, how it is used, how it may be shared, and the rights available to you under applicable privacy and data protection laws.

By using the Platform or providing personal information, you acknowledge that your information will be handled as described in the Privacy Policy, including any cross-border data transfers necessary to deliver the Services. Where required by law, ZyroGo will obtain consent for specific uses of data, such as marketing communications or optional Platform features.

If any inconsistency arises between this Agreement and the Privacy Policy regarding personal information handling, the Privacy Policy will govern privacy and data protection matters, while this Agreement governs general Platform use and related services.

14. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform and Services are provided on an “as is” and “as available” basis, without any warranties, representations, or conditions of any kind, whether express, implied, or statutory. ZyroGo does not guarantee that the Platform will be uninterrupted, timely, secure, error-free, or compatible with every device, browser, or network.

ZyroGo disclaims all implied warranties and conditions, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and the quality or reliability of information presented on the Platform. ZyroGo does not guarantee that schedules, availability, prices, or other details displayed will always reflect real-time conditions or remain unchanged.

Any advice, information, or support obtained from ZyroGo, whether written or oral, does not create any warranty or guarantee not expressly stated in this Agreement. Your use of the Platform and any reliance on information obtained through it is at your own risk, subject to any rights you may have under applicable consumer protection laws.

15. Limitation of Liability

To the fullest extent permitted by applicable law, ZyroGo, its affiliates, directors, officers, employees, and service providers will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of, or inability to use, the Platform or Services. This includes, without limitation, loss of profits, revenue, opportunity, goodwill, or data, even if ZyroGo has been advised of the possibility of such damages.

Subject to any non-excludable rights under applicable consumer protection or transportation laws, ZyroGo’s total aggregate liability arising from or relating to your use of the Platform and Services under this Agreement will be limited to:

• The total amount of fees paid to ZyroGo through the Platform in the three (3) months preceding the event giving rise to the claim; or
• If no such fees were paid, a maximum amount of one hundred Canadian dollars (CAD 100).

These limitations apply to all causes of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if any remedy fails of its essential purpose. Nothing in this Agreement limits or excludes ZyroGo’s liability where such limitation is prohibited by law, including cases involving certain forms of wilful misconduct or gross negligence.

16. Indemnification

You agree to indemnify, defend, and hold harmless ZyroGo, its affiliates, directors, officers, employees, and service providers from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of this Agreement.
• Your misuse of the Platform or Services.
• Your violation of any law or third-party rights.
• Any content or information you submit through the Platform.

ZyroGo may, at its own expense, assume exclusive defense and control of any matter otherwise subject to indemnification by you. In such cases, you agree to cooperate fully with ZyroGo in asserting any available defenses. Your indemnification obligations will survive termination of this Agreement and your use of the Platform.

This section does not limit any other rights or remedies available to ZyroGo under applicable law and operates in addition to any indemnities or allocation of risk contained in the applicable Service Agreement.

17. Force Majeure

ZyroGo will not be liable for any delay, interruption, or failure to perform its obligations under this Agreement to the extent caused by events beyond its reasonable control. Such events may include, but are not limited to, acts of God, natural disasters, pandemics, public health emergencies, war, terrorism, civil unrest, labour disputes, government actions, road closures, extreme weather conditions, or failures affecting telecommunications, internet services, or utility infrastructure.

During a force majeure event, ZyroGo’s obligations under this Agreement may be suspended for the duration of the event and for a reasonable recovery period thereafter. ZyroGo will make commercially reasonable efforts to reduce disruption and restore affected services as soon as practicable once conditions permit.

18. No Waiver & Entire Agreement

Failure by ZyroGo to exercise or enforce any right or provision of this Agreement will not constitute a waiver of that right or provision, nor of any other rights or provisions. Any waiver must be made in writing and must clearly reference the specific provision being waived in order to be effective.

This Agreement, together with any documents expressly incorporated by reference, including the Privacy Policy and the applicable Service Agreement, constitutes the entire agreement between you and ZyroGo relating to your use of the Platform and Services. It replaces all prior or contemporaneous communications, understandings, or agreements, whether written or oral, regarding the subject matter covered here.

19. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions of the Agreement will continue in full force and effect.

The parties agree that any invalid or unenforceable provision will be replaced with a valid provision that most closely reflects the original intent and allocation of risk contemplated by the original wording.

20. Assignment & Transfer of Rights

You may not assign, transfer, or delegate any of your rights or obligations under this Agreement, whether by operation of law or otherwise, without ZyroGo’s prior written consent. Any attempted assignment in violation of this restriction will be considered null and void.

ZyroGo may assign or transfer this Agreement, in whole or in part, including to an affiliate or to a successor entity in connection with a merger, acquisition, corporate reorganization, or sale of assets, without requiring your consent.

Subject to the foregoing, this Agreement will bind and benefit both parties and their respective permitted successors and assigns.

21. Governing Law & Jurisdiction

This Agreement, and any non-consumer disputes arising out of or relating to it or your use of the Platform, will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to any mandatory consumer rights you may have under applicable law, you agree that the courts of Ontario will have exclusive jurisdiction over such disputes, and you submit to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

22. Dispute Resolution & Arbitration

Before initiating any formal dispute process, you agree to first contact ZyroGo’s customer support team and allow a reasonable opportunity to resolve the issue informally. Many ticketing and operational concerns may be addressed under the applicable Service Agreement and carrier policies.

For disputes primarily related to your use of the Platform, ZyroGo may offer or require resolution through mediation or arbitration, where permitted by law. If arbitration is used, proceedings will be conducted on an individual basis and not as part of any class, consolidated, or representative action, except where such limitation is not enforceable under applicable law.

Any arbitration will take place in Ontario, Canada, through a recognized arbitration body or process agreed between you and ZyroGo. The arbitrator’s decision will be final and binding, subject to applicable legal rights of review.

Nothing in this section prevents either party from seeking interim or injunctive relief through the courts of Ontario where necessary to protect confidential information, intellectual property, or system security, nor does it limit any non-waivable rights under applicable consumer protection laws.

23. Changes & Amendments to Terms

ZyroGo may update or modify this Agreement from time to time to reflect changes in applicable laws, technology, business practices, or operational requirements. When changes are made, ZyroGo will update the “Last Updated” date and may provide additional notice through the Platform or by email where appropriate.

Unless otherwise specified, the updated Agreement becomes effective once posted on the Platform. Your continued access or use of the Platform after the revised version is published constitutes your acceptance of the updated terms. If you do not agree with any changes, you must stop using the Platform and Services.

24. Acceptance of Terms

By accessing, browsing, or using the Platform, creating an account, or completing a booking, you acknowledge that you have read, understood, and agree to be bound by this Agreement, as it may be amended from time to time in accordance with Section 23.

If you do not agree with all terms and conditions contained in this Agreement, you are not authorized to access or use the Platform or Services.

If you have any questions about this Agreement, or wish to submit notices, requests, or complaints regarding the Platform, you may contact ZyroGo using the contact details published on the official ZyroGo website or included within your booking confirmation communications.

ZyroGo will make reasonable efforts to respond within a commercially reasonable timeframe, depending on the nature and complexity of the request.
